Invoicing as a 1099 contractor

A US independent contractor commonly invoices a business client outside payroll. The payer generally does not withhold payroll taxes, but backup withholding, nonresident withholding and other exceptions can apply. Form 1099-NEC is a separate information return based on qualifying payments, not on the invoice itself. This guide covers invoice fields, Form W-9, the 2026 reporting threshold and worker classification.

What does it mean to invoice as a 1099 contractor?

“1099 contractor” is informal US shorthand for a person or business treated as an independent contractor rather than an employee. The form does not determine worker status; the facts and applicable classification tests do. A payer uses Form 1099-NEC for qualifying nonemployee compensation when a filing rule applies.

For payments made in 2026, the general federal reporting threshold for covered services is $2,000, increased from $600 for payments made before 2026. The IRS says to consult Publication 1099 for the inflation-adjusted threshold after 2026. Exceptions apply, including reporting regardless of amount where federal income tax was withheld under backup-withholding rules. An invoice records what was billed; Form 1099-NEC reports qualifying payments under the form instructions.

When can tax be withheld from contractor payments?

A payer generally does not withhold federal income tax, Social Security or Medicare as payroll tax from payments to a correctly classified US independent contractor. That is not the same as saying withholding never occurs. The IRS requires 24% backup withholding in specified cases, such as when a US payee fails to provide a TIN in the required manner or does not resolve an IRS notice about an incorrect TIN. Separate withholding rules can apply to nonresident aliens.

A self-employed individual generally pays income and self-employment tax through the return and, when required, estimated payments. The IRS generally requires estimated payments when an individual expects to owe at least $1,000 after withholding and credits, subject to its tests and exceptions. Entity type, net earnings, other withholding and state law affect the result, so calculate from current IRS forms rather than reserving a universal percentage.

What should a 1099 contractor put on an invoice?

The IRS does not prescribe a special invoice format called a “1099 invoice”. Form 1099-NEC is a payer’s information return, not an attachment to each bill. Use an invoice that identifies the parties, services, dates, amount and agreed payment instructions, plus any details required by state law or the contract. The word “Invoice” and a unique number
A clear title and identifier so you and the client can distinguish each bill.
Issue date and payment due date
When you raised the invoice and the date payment is expected (for example net 15 or net 30).
Your name or business name and address
The name you operate under, whether your own name as a sole proprietor or your LLC or business entity.
The client’s name and address
The full legal name of the business you are billing, so payment and any 1099 are matched to the right party.
Description of services, hours or units
A line for each service with quantity, rate and line total, clear enough that the client recognises the work.
Total amount due
The amount billed under the contract. Record any withholding actually applied by the payer separately and reconcile the payment.
How to pay and your terms
Accepted payment methods, bank or ACH details, and any late-payment terms you have agreed.
No full TIN unless required
A payer normally requests the certified TIN on Form W-9 or an allowed substitute, not in the visible invoice body.

How do your TIN, EIN and the Form W-9 fit in?

The payer uses Form W-9, Request for Taxpayer Identification Number and Certification, or an allowed substitute, to obtain the payee name, federal tax classification and correct TIN. Follow the current form instructions for which name and TIN to enter. The answer depends on whether the payee is an individual, sole proprietor, disregarded entity, partnership or corporation; do not assume every sole proprietor can substitute an EIN for an SSN on the current form.

The payer should request Form W-9 when setting up a US independent contractor and retain it in its files. A W-9 contains sensitive identifying data but is not itself a transmission channel. Send it using a method appropriate for sensitive tax information and verify the requester. Do not put a full SSN on routine invoices unless a specific rule requires it.

How is a 1099 contractor different from a W-2 employee?

“1099” and “W-2” name information forms, not a status a contract can choose at will. The IRS looks at behavioral control, financial control and the parties’ relationship, while other federal and state laws can use their own tests. Misclassification can exist even when a worker sends invoices.

Keeping invoices and the 1099 in agreement

Reconcile Form 1099-NEC to the payer’s qualifying payments, not blindly to invoices issued. An invoice can remain unpaid at year end, cover reimbursed items, or be paid through a payment card or third-party network that follows Form 1099-K rules. Entity and payment exceptions can also affect reporting.

For payments made in 2026, the general Form 1099-NEC threshold for covered services is $2,000; after 2026 it can be adjusted for inflation. Reporting can still be required below the threshold when backup withholding occurred. Keep invoices, payment records, Forms W-9 and information returns, investigate differences, and report taxable business income even when no Form 1099 arrives.
